Parents cannot be representative of a child, unless the child is a minor. Today, former CEO Min Hee-jin filed an application for an injunction to 'convene an extraordinary general meeting of shareholders of Adore and reappoint Adore's inside directors' with the Seoul Central District Court (Seoul Central District Court 2024KaHap21391 Injunction to Exercise Voting Rights, etc.). We will explain below why an injunction to appoint directors and the appointment of the CEO was filed instead of an injunction to suspend the effect after the dismissal of the CEO.

The dismissal of former CEO Min Hee-jin as CEO violates the shareholder agreement and also goes against the court's injunction decision to prohibit the exercise of voting rights. In the meantime, we were preparing an injunction to contest the validity of the dismissal of the CEO. However, considering that a temporary general meeting of shareholders is needed to reappoint the directors of Adore before November 2, 2024, and the court’s injunction review period, we filed an injunction application with the intention of reappointing former CEO Min Hee-jin as a director of Adore and then appointing her as CEO.

Former CEO Min Hee-jin is guaranteed a five-year term as CEO and inside director of Adore under the shareholder agreement. This is a direct violation of the still valid shareholder agreement and the court’s decision on an injunction to guarantee the term of office

of the CEO. Former CEO Min Hee-jin’s three-year term as an inside director of Adore expires on November 2, 2024. Hive is unilaterally claiming that the shareholder agreement was terminated without any basis when former CEO Min Hee-jin’s term as an inside director is less than two months away. In this situation, it is self-evident that Hive will not reappoint former CEO Min Hee-jin as an inside director.

Therefore, we have inevitably filed an injunction to convene a temporary shareholders’ meeting before former CEO Min Hee-jin’s term as an inside director expires and to exercise voting rights in favor of the ‘Motion to Reappoint Min Hee-jin as Inside Director.’

We urge Hive to stop its continued breach of contract, obstruction of business, defamation, and insults, and to make rational management decisions for the future of Adore and New Jeans.
